Bromberg and Ribstein on LLPs, RUPA and ULPA (2001), 2005

Bromberg (law, Southern Methodist U.) and Ribstein (law, U. of Illinois) provide commentary on limited liability partnership statutes in the United States through approximately August 15, 2004. The first seven chapters cover the registered limited liability partnership provisions and related law, offering discussions of LLP formation, partner liability for partnership debts, effects of LLP status on other partnership rules, among other topics. Two remaining chapters look at the adoption of new uniform partnership laws, including the Revised Uniform Partnership Act and the revised version of the Uniform Limited Partnership Act, promulgated by the National Conference of Commissioners on Uniform State Laws in 1994 and 2001, respectively. The texts of these two acts are included in attached appendices, alongside selected state statutes, the Prototype Registered Limited Liability Partnership Act, and the 1997 Prototype Partnership Agreement for a Limited Liability Partnership Formed Under the Uniform Partnership Act.
